MannaFlow Inc. — HARVEST Farm Cost Management

By accessing or using the HARVEST platform (the "Service") operated by MannaFlow Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms constitute a binding agreement governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
HARVEST by MannaFlow Inc. is a farm cost management tool that analyzes transaction data you upload (in CSV format) to identify cost patterns, detect spending inefficiencies, and provide optimization insights. The Service includes a free analysis tier and paid report tiers.
The Service is provided "as is" and is intended as an analytical tool to assist with financial decision-making. It is not a substitute for professional financial, accounting, tax, or legal advice.
The Service is intended for business use by individuals who are at least 18 years of age and have the authority to enter into agreements on behalf of their organization. By using the Service, you represent that you meet these requirements.
The free analysis tier does not require account creation. You may optionally provide an email address to save your report and receive renewal reminders.
You retain all rights to the transaction data you upload. You represent that you have the right to upload and process this data, and that doing so does not violate any agreement with your financial institution or any applicable law. You are solely responsible for ensuring the accuracy of uploaded data.
Uploaded CSV data is processed in real-time to generate your report. Raw CSV data is not permanently stored after analysis. We extract anonymized benchmark data (vendor names, categories, and amounts only) as described in our Privacy Policy.
The free tier provides a limited analysis including total savings identified, waste grade, lowest-impact findings, and category breakdown. Full reports are available at published tier pricing. All prices are displayed and charged in Canadian Dollars (CAD). All prices are exclusive of applicable taxes, including HST for Ontario customers.
Payments are processed by Stripe, Inc., a third-party payment processor. By making a purchase, you agree to Stripe's terms of service. MannaFlow Inc. does not store your full credit card details. For purchases above CAD $9,999, you may request an invoice as an alternative to card payment.
Purchases are one-time payments for individual audit reports. Each paid report includes one complimentary follow-up re-audit within twelve (12) months of the original purchase date. After the included follow-up, ongoing monitoring is available as an annual subscription at approximately 25% of the original report price.
We reserve the right to modify pricing at any time. Changes will not affect previously purchased reports or the included follow-up re-audit.
Due to the immediate delivery of digital analysis results, all sales are final once a report has been generated and delivered. If the Service experiences a technical error that prevents delivery of your report, we will either re-generate the report or issue a full refund at our discretion. If you believe your report contains material errors, contact us at harvest@mannaflow.app within fourteen (14) days of purchase and we will review the analysis. If we determine the analysis was materially flawed due to a defect in our Service (as opposed to incomplete or inaccurate input data), we will issue a full refund.
The Service, including its analysis methodology, multi-agent architecture, scoring algorithms, vendor knowledge base, and all associated branding, design, and content, is the proprietary property of MannaFlow Inc. and is protected by applicable intellectual property laws. You may not copy, reverse engineer, or create derivative works based on the Service. Reports generated for you may be used internally within your organization and shared with your professional advisors.
You agree not to: upload data that you do not have the right to process; attempt to reverse engineer, decompile, or extract the analysis methodology; use the Service to build a competing product or service; upload malicious files or attempt to compromise the Service; resell, redistribute, or commercially exploit reports generated by the Service; or use automated tools to scrape or bulk-access the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that: the analysis will be error-free or complete; the Service will be uninterrupted or secure; the savings identified will be achievable in practice; or the recommendations will be suitable for your specific circumstances.
The Service provides analysis and recommendations based on the transaction data you provide. Actual savings depend on your ability and willingness to implement the recommendations. We are not financial advisors, and the Service does not constitute financial advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANNAFLOW INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA OR USE, ARISING FROM YOUR USE OF THE SERVICE.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us for the specific report giving rise to the claim, or CAD $100, whichever is greater.
You agree to indemnify and hold harmless MannaFlow Inc. and its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of the Service; your violation of these Terms; your violation of any third-party rights; or the data you upload to the Service.
MannaFlow Inc. shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, government actions, power failures, internet or telecommunications failures, hosting provider outages, cyberattacks, or labour disputes.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, and indemnification.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of the Province of Ontario, and you consent to the personal jurisdiction of such courts.
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service. Your continued use after changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MannaFlow Inc. regarding the Service.
